These Terms & Conditions ("Terms") govern your use of www.vinnocademy.com, its mobile versions and related services (the "Platform"), operated by [Company Legal Name] ("Vinnocademy", "we", "us"). By creating an account or using the Platform, you agree to these Terms, our Privacy Policy, Cookie Policy and Refund Policy. If you do not agree, please do not use the Platform.

- Student: Anyone who registers to view or enroll in courses.
- Teacher (Instructor): Anyone approved by us to create and publish courses.
- User: Any Student, Teacher or visitor.
- Open Course: A free course anyone may access.
- Premium Course: A paid course with features such as quizzes, assignments, teacher Q&A and certificates.

2.2 Eligibility and accounts
- You must be at least 13 years old to create an account. If you are under 18, a parent or legal guardian must agree to these Terms on your behalf and supervise your use.
- You must give accurate information when registering and keep it up to date.
- You are responsible for keeping your password secret and for all activity under your account. Tell us immediately at [Support Email] if you suspect unauthorised use.
- Accounts are personal. You may not sell, share or transfer your account or course access to anyone else.
- One person may hold one Student account. Teachers may use the same account to teach and learn.
Vinnocademy is a learning platform and marketplace. Teachers create courses and are responsible for their content. Course videos are hosted on third-party services such as YouTube or Vimeo and embedded on the Platform; your viewing of those videos is also subject to those services' own terms and privacy policies.
We do not guarantee that any course will lead to a job, admission, exam result or academic credit. Unless a course page states otherwise, Vinnocademy courses and certificates are not degrees and are not accredited by the University Grants Commission (UGC) or any university.
2.4 Student terms
- Licence to learn. When you enrol, you get a limited, personal, non-transferable, non-exclusive licence to view the course for your own non-commercial learning.
- Access period. Premium Courses come with access for as long as the course stays on the Platform and your account is in good standing, unless the course page states a fixed access period. A Teacher may update or retire a course; where a paid course is removed, we will try to give enrolled Students at least 30 days' notice or move them to a comparable course.
- You may not: download, record, screen-capture, copy, resell, re-upload or publicly share course content; share your login; or use course material to build a competing course.
- Open Course materials may be offered under an open licence (for example, Creative Commons BY-NC-SA). Where a course shows such a licence, you may reuse the material on the terms of that licence.
- Certificates are issued for completing Premium Courses as described on the course page. They confirm completion only. Certificates obtained by cheating, sharing answers or using another person's account may be revoked.
2.5 Teacher terms
- Approval. To publish Premium Courses you must apply for a Teacher account and complete verification, which may include your NID or passport, academic or professional credentials, and payout details. We may refuse or revoke Teacher status at our discretion.
- Ownership. You keep ownership of the content you create.
- Licence to Vinnocademy. You grant us a worldwide, non-exclusive, royalty-free licence to host, embed, display, reproduce, translate, subtitle, promote and distribute your course content on the Platform and in our marketing (for example, short previews) for as long as the course is published, and for Students who enrolled, for their access period.
- Your warranties. You confirm that you own or have permission for everything in your course, including videos, images, music, slides and third-party material; that your content is accurate and not misleading; and that it does not infringe anyone's copyright, trademark or privacy.
- Video links. You must own the YouTube, Vimeo or other channel or account that hosts your videos, or have written permission to use them. If you delete, make private or change a linked video, you must replace it promptly; we may unpublish courses with broken links.
- Open Courses must be free. You choose the licence (for example, Creative Commons) when publishing.
- Pricing. You set the price of Premium Courses within the minimum and maximum ranges we publish. We may run promotions and discounts; our promotion terms will explain any effect on your earnings.
- Revenue share. For each Premium Course sale, you receive [X]% of the net amount received (the price paid minus payment-gateway charges, VAT and other applicable taxes, and refunds). Payouts are made monthly by bank transfer or mobile financial service to your verified account, once your balance exceeds [minimum payout amount]. We may hold payouts for sales still within the refund window.
- Taxes. You are responsible for your own income tax. We may deduct tax at source where Bangladeshi law requires and will provide a certificate of any deduction.
- Conduct with Students. You must answer Student questions respectfully, must not ask Students to pay you outside the Platform for a course sold on it, and must not collect Students' personal data for other purposes.
- Quality review. We may review, request changes to, unpublish or remove any course that breaks these Terms or our quality standards.
2.6 Payments and pricing
- Prices are shown in Bangladeshi Taka (BDT) and include VAT where applicable.
- We accept bKash, Nagad, Rocket, debit and credit cards, and other methods shown at checkout, processed by licensed payment gateways. We do not store your full card or mobile-wallet PIN details.
- Access to a Premium Course is activated immediately after successful payment. If payment is deducted but access is not activated within 24 hours, contact us and we will either activate the course or refund you in full within 10 working days.
- Prices may change, but a change never affects a course you have already bought.
- Refunds are governed by our Refund Policy.
2.7 Acceptable use
You must not:
- post content that is unlawful, defamatory, obscene, hateful, harassing, or that threatens communal harmony or national security;
- upload malware, scrape the Platform, or try to bypass security or access controls;
- impersonate anyone, create fake reviews, or manipulate ratings;
- spam, advertise or solicit Users for services outside the Platform;
- help others cheat in exams or academic assessments;
- infringe anyone's intellectual property or privacy.
We may remove content and suspend or terminate accounts that break these rules.
2.8 Intellectual property
The Vinnocademy name, logo, website design and software belong to [Company Legal Name] and may not be used without our written permission. Course content belongs to the Teacher who created it or their licensors.
2.9 Copyright complaints
If you believe content on the Platform infringes your copyright, email [Support Email] with: your contact details; a description of the work; the URL of the infringing material; a statement that you believe the use is unauthorised; and a statement that your notice is accurate and you are the owner or authorised to act for the owner. We will review the notice, may remove the material, and will notify the Teacher, who may respond. Repeat infringers will lose their accounts.
2.10 Third-party services
The Platform relies on third parties such as YouTube, Vimeo, payment gateways and hosting providers. We are not responsible for their availability, content, or practices. If a third-party video becomes unavailable, we will work with the Teacher to restore or replace it.
2.11 Disclaimers
The Platform and all Content are provided "as is" and "as available". Teachers, not Vinnocademy, are responsible for the accuracy of their courses. We do not guarantee uninterrupted or error-free service. Nothing in these Terms limits rights you have under the Consumer Rights Protection Act, 2009 or other laws that cannot be excluded.
2.12 Limitation of liability
To the extent permitted by law, Vinnocademy is not liable for indirect or consequential losses, such as lost income, lost opportunities or lost data. Our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim.
2.13 Indemnity
You agree to compensate Vinnocademy for losses, claims and reasonable legal costs arising from your breach of these Terms or from content you upload.
2.14 Suspension and termination
You may close your account at any time from your account settings or by emailing us. We may suspend or terminate your account if you break these Terms, if required by law, or to protect Users or the Platform. Sections 2.8, 2.11, 2.12, 2.13 and 2.16 survive termination.
2.15 Changes to these Terms
We may update these Terms. For material changes, we will notify you by email or on the Platform at least 15 days before they take effect. Continuing to use the Platform after that date means you accept the updated Terms.
2.16 Governing law and disputes
These Terms are governed by the laws of the People's Republic of Bangladesh. Please contact us first; we aim to resolve complaints within 15 working days. If a dispute is not resolved, it will be decided by the competent courts of Dhaka, Bangladesh. You may also complain to the Directorate of National Consumer Rights Protection.
